(BC)، نقطه آغاز تعهدات و مسئولیتهای قانونی تشکیلات حقوقی است. برخلاف تصور رایج میان برخی از کارآفرینان، عدم فعالیت تجاری، وقفه در تولید یا عدم کسب درآمد، سبب معافیت مجموعه از تکالیف اداری، ثبت گزارشهای سالانه و اظهارنامههای مالیاتی نمیشود. بیتوجهی به این تعهدات مستمر، تبعات حقوقی و جریمههای مالی قابل توجهی به همراه دارد

بر اساس قوانین اداره ثبت شرکتهای بریتیش کلمبیا (BC Registry)، کلیه اشخاص حقوقی موظفاند گزارش سالانه وضعیت شرکت را در موعد مقرر ارائه نمایند.
تکلیف شرکتهای غیرفعال (Inoperative): الزامات قانونی ارسال این گزارش، حتی برای مجموعههایی که هیچگونه فعالیت عملیاتی نداشتهاند نیز پابرجا است
تبعات عدم ارسال: چنانچه گزارشی طی دو سال متوالی به اداره ثبت ارائه نشود، دولت استان اقدام به انحلال اداری (Strike Off) شرکت خواهد نمود. بازگرداندن شرکت منحله به حالت فعال (Restoration) مستلزم طی مراحل حقوقی پیچیده و پرداخت هزینههای اداری سنگین است

همزمان با تاسیس شرکت، پرونده مالیاتی حقوقی (T2 Corporate Tax Return) به صورت خودکار نزد CRA فعال میگردد.
اظهارنامه سالانه T2: تمامی شرکتها ملزم به تسلیم اظهارنامه T2 هستند. برای شرکتهای بدون گردش مالی، ارسال «اظهارنامه صفر» (Zero Return) الزامی است.
جریمهها و بهرههای دیرکرد: در صورت داشتن درآمد یا مالیات بدهکار، تاخیر یا عدم ارسال به موقع اظهارنامه موجب تعلق جریمه دیرکرد ارسال (Late Filing Penalty) و محاسبه روزشمار بهره (Interest) بر طبق مقررات مالیاتی خواهد شد.
حسابهای GST/PST و حقوق و دستمزد (Payroll): در صورت ثبت و افتتاح هر یک از این حسابها، گزارشدهیهای دورهای باید در مواعد مقرر صورت گیرد؛ در غیر این صورت، اداره مالیات بر اساس برآوردهای تخمینی (Assessment) اقدام به تعیین مالیات و جریمه مینماید

مطابق قوانین شرکتی، نگهداری و بهروزرسانی «کتابچه قانونی شرکت» (Minute Book) شامل صورتجلسات هیئتمدیره، فهرست سهامداران، و دفتر آدرس رسمی الزامی است. نقص در مدارک این دفتر، هنگام جلب سرمایهگذار، اخذ تسهیلات بانکی، انتقال سهام یا فروش مجموعه، مسبب چالشهای حقوقی جدی خواهد بود

The formal registration of a business entity in the province of British Columbia (BC) marks the beginning of the legal obligations and responsibilities of that entity. Contrary to a common misconception among some entrepreneurs, inactivity, a pause in operations, or the absence of income does not exempt a company from administrative requirements, annual filings, or tax returns. Neglecting these ongoing obligations can result in significant legal consequences and financial penalties.
Annual Corporate Reporting (BC Annual Report)
Under the requirements of the British Columbia Corporate Registry (BC Registry), all legal entities are required to file an annual report within the prescribed deadline.
Obligations of inactive companies (Inoperative): The legal requirement to file this report remains in effect even for entities that have had no business operations whatsoever.
Consequences of failing to file: If a company fails to file its annual report for two consecutive years, the provincial government may administratively dissolve the company through a Strike Off. Restoring a dissolved company to active status (Restoration) involves legal procedures and potentially significant administrative costs.

Maintaining and Updating the Corporate Minute Book
Under corporate law requirements, maintaining and updating the company’s Minute Book is required. This includes corporate records such as board resolutions and minutes, the shareholder register, and the registered office records.
Incomplete or outdated corporate records can create significant legal and administrative challenges when attracting investors, obtaining bank financing, transferring shares, or selling the business.
